Upcoming changes in automatic business resumption in Poland’s KRS (National Court Register)

Entrepreneurs registered in the Polish National Court Register (KRS) can use the option to suspend their business activity by submitting a relevant application for an entry of such information in the system. However, it is worth noting that the suspension period should not exceed 24 months, as under the current regulations in Poland, after such time, the business is automatically resumed, with the corresponding information appearing in the register.

However, the main problem here lies in the fact that since the mechanism was introduced in 2018, it has not worked in practice. As a result, many businesses recorded in the KRS still appear as suspended, even though the maximum suspension period allowed by law has long expired.

This issue arises from the lack of introducing appropriate functions in the system to automatically add such entries. As emphasized by representatives of the Ministry of Justice, this was due to numerous interpretational problems related to the application of the relevant provisions.

The current situation leads to numerous inconsistencies in the register, which can often cause difficulties for authorities or contractors in verifying the present status of a given business activity.

Interestingly, the Ministry of Justice has now announced the launch of the previously non-functioning eKRS feature, which is expected to be finally implemented in the first quarter of 2025. As a result, many companies that have been inactive in the market for years will now be automatically resumed.
This solution is also expected to force entrepreneurs to update the status of their business activity, while ensuring a higher level of transparency and up-to-date information available in the register.
